MyPerfectCoin Reseller Agreement

Effective Date: 26/07/2025

This Reseller Agreement (“Agreement”) sets forth the terms and conditions between MyPerfectCoin, operated by SWIM Ltd (“we,” “our,” or “us”), and any approved individual or entity (“you,” “reseller,” or “partner”) participating in the MyPerfectCoin Reseller Programme.

By applying to and participating in the Reseller Programme, you confirm that you have read, understood, and agreed to the following legally binding terms.

1. Eligibility and Onboarding

1.1. To become a reseller, applicants must:

  • Be 18 years of age or older

  • Have a verified email address

  • Submit a valid Government-issued ID and proof of address

  • Pay the one-time non-refundable reseller activation fee of 1,500 TTD or 220 USD

1.2. All applications are subject to manual review and approval by our admin team.

1.3. Approval as a reseller does not guarantee exclusive rights, territory, or sales volumes.

2. Reseller Benefits

2.1. Approved resellers gain access to:

  • Preferential USDT buy and sell rates

  • Reseller dashboard with analytics

  • Custom referral links

  • Commission tracking

  • Priority support

2.2. Resellers are permitted to onboard clients and facilitate transactions on their behalf, provided they maintain compliance with Section 5.

 

3. No Refund Policy

3.1. The reseller activation fee is non-refundable under all circumstances, including rejection, inactivity, or account closure.

3.2. MyPerfectCoin does not offer refunds for USDT purchased by clients through reseller accounts.

3.3. All transactions conducted under the reseller account are final and irreversible once confirmed.

4. Compliance and Conduct

4.1. Resellers must comply with all local and international laws, including but not limited to:

  • Anti-Money Laundering (AML)

  • Know Your Customer (KYC)

  • Counter-Terrorism Financing (CTF)

4.2. Resellers must not engage in or support:

  • Fraudulent transactions

  • Misuse of client information

  • False advertising or deceptive practices

  • Use of unverified payment or wallet methods

4.3. Resellers are responsible for verifying the legitimacy of their client’s wallet addresses, bank details, and identity where applicable.

5. Account Suspension or Termination

5.1. MyPerfectCoin reserves the right to suspend or permanently terminate reseller access at its sole discretion, particularly for:

  • Breach of this Agreement

  • Fraudulent or suspicious behavior

  • Non-compliance with legal obligations

5.2. Upon termination:

  • Any unpaid commissions may be frozen

  • You may lose access to reseller tools and client data

  • All claims against MyPerfectCoin are waived

7. Liability Disclaimer

7.1. MyPerfectCoin is not liable for:

  • Losses from incorrect wallet addresses submitted by you or your clients

  • Delays in client payouts caused by incorrect or incomplete banking information

  • Lost commissions due to system maintenance, bugs, or force majeure

7.2. Your participation is at your own risk, and MyPerfectCoin offers no guarantee of earnings or profits.

8. Intellectual Property

8.1. All MyPerfectCoin branding, logos, dashboards, and materials remain the property of SWIM Ltd.

8.2. You may not modify or misuse official branding without prior written consent.

9. Governing Law

This Agreement is governed by and construed under the laws of the Republic of Trinidad and Tobago. Any disputes shall be subject to its jurisdiction.

10. Modifications

We reserve the right to modify this Agreement or the Reseller Programme structure at any time. Changes will be communicated via email or posted on your dashboard.
